Bagdon holds 49% interest in Ford City West while Firestone holds 51% interest. Ford City West is a Firestone dealer. According to the plaintiff (Bagdon), Firestone violated the duty any controlling shareholder ownes to the corporation and, derivately, to the minority investor. Since Firestone bought all of JC Penny´s dealers across the west coast and thus competeing with Ford City West, Firestone start competing with Ford City West. Due to such competition annual revenues of Ford City West droped dramatically and therefore causing a substantial loss to Bagdon as he holds 49% interest in Ford City West venture with Firestone.
